(2) no director or person authorised to bind the applicant has ever been a director
or a person authorised to bind other licensees whose license has previously been revoked
due to his or her performing of management duties during a period of less than three years.
Section 15. The applicant for a license under section 13, in addition to having the
qualifications and possessing no prohibited characteristics under section 8 and section 14,
shall have the following qualifications:
(1) being a juristic person in which the persons of Thai nationality invest or hold
equity shares in the amount of not less than three quarters of the total capital of such
juristic person;
(2) being a juristic person in which the persons of Thai nationality have the power
under the law or articles of association or through an agreement to vote of not less than
three quarters of the total number of votes entitled to vote of such juristic person.
In the case where the applicant for a license under section 13 is a company, at least
three quarters of the total number of the directors and the director(s) authorised to bind
such juristic person shall be of Thai nationality.
In the case where the applicant for a license under section 13 is a limited partnership
or registered ordinary partnership, the managing partner or the manager shall be of Thai
nationality.
The Commission may prescribe the prohibition of any act which has the nature of
business takeover by a foreigner to be observed by the applicant.
For the purpose of this section, it shall be deemed that a person of Thai nationality
means a person who is not a foreigner under the law on foreign business, and in casting a
vote, each share held or invested by a person of Thai nationality shall be counted as one
vote.
