Ar cle 877 Where there are laws or administra ve regula ons providing otherwise on contracts for technology import and export, or on contracts for patents and applica on of patents, the relevant provisions shall be followed. Sec on 4 Technology Consulta on Contracts and Technology Service Contracts Ar cle 878 A technology consulta on contract is a contract under which one party uses his technological knowledge to provide to the other party the feasibility study, technological forecast, special technological inves ga on, and analysis and evalua on report on a speci c technological project. A technology service contract is a contract under which one party uses his technological knowledge to solve speci c technological problems for the other party. Technology service contracts does not include work contracts or construc on project contracts. Ar cle 879 A client in a technology consulta on contract shall, in accordance with the agreement, clarify the issues for consulta on, provide technological background informa on and the related materials, accept the work product of the entrusted person, and pay remunera on. Ar cle 880 The entrusted person in a technology consulta on contract shall complete the consulta on report or resolve the issues within the agreed me limit, and the consulta on report submi ed shall meet the requirements as agreed by the par es. Ar cle 881 Where a client in a technology consulta on contract fails to provide the necessary materials in accordance with the agreement thus a ec ng the progress and quality of the work, or if the client fails to accept the work product or delays the acceptance, he may not request refund for the paid remunera on and shall pay any unpaid remunera on. An entrusted person in a technology consulta on contract who fails to submit the consulta on report as scheduled or submits a report failing to meet the requirements as agreed by the par es shall bear default liability in form of reduc on or waiver of its remunera on, and the like. Where a client in a technology consulta on contract makes a decision in reliance upon the entrusted person’s consulta on report and advice that meet the requirements as agreed by the par es, any losses thus caused shall be borne by the client, unless otherwise agreed by the par es. Ar cle 882 A client in a technology service contract shall, in accordance with the agreement, provide working condi ons, perform the coopera ve work, accept the work product, and pay remunera on. Ar cle 883 An entrusted person in a technology service contract shall, in accordance with the agreement, complete the services, solve the technological issues, guarantee the quality of the work, and impart the knowledge for solving the technological problems. Ar cle 884 Where a client to a technology service contract fails to perform his contractual obliga ons or performs his obliga ons in a manner inconsistent with the contract, thus a ec ng the progress and quality of the work, or fails to accept the work product or delays the acceptance, he may not request for refund of the paid remunera on, and shall pay any unpaid remunera on. An entrusted person in a technology service contract who fails to complete the service work in accordance with the agreement shall bear default liability in such form as waiver of his remunera on, and the like. Ar cle 885 Unless otherwise agreed by the par es, in the course of performance of a technology consulta on contract or a technology service contract, the new technological product made by the entrusted person with technological materials and working condi ons provided by the client belongs to the entrusted person. The new technological products made by the client based on the work product of the entrusted person belongs to the client.
